Terms of Engagement

These Terms of Engagement ("Terms") govern the provision of advisory, intelligence, verification, due diligence, and related services (the "Services") by Shrimad India Commercial Intelligence ("Shrimad India", "we") to the engaging party ("Client", "you"). By instructing us, you agree to these Terms.

1. Scope of Services

Our Services are provided strictly as described in the engagement letter or written scope confirmation. Indicative pricing displayed on the website is an estimate; the binding scope, fees, and deliverables are confirmed by a written engagement letter or proposal.

2. Confidentiality & NDA

All engagement information shared with us is treated as confidential. We are willing to execute a mutual NDA prior to engagement. We act for one client at a time on any given matter and do not disclose engagement details, subjects, sources, or sponsors to third parties.

3. Conflicts

We conduct a conflict check before accepting any engagement. We reserve the right to decline matters that conflict with existing engagements or our independence standards.

4. Source Methodology & Limits

Our Services combine public-record research, regulatory filings, adverse media review, and discreet human-source intelligence. Findings reflect information reasonably ascertainable within the agreed timeline and scope. We do not guarantee discovery of all material facts; we provide our professional judgment based on the work performed.

5. No Personal Background Checks Without Lawful Basis

Our Services are intended for commercial counterparty assessment. We do not conduct personal background investigations on private individuals without a lawful basis, written instruction, and confirmation of compliance with applicable jurisdictional requirements.

7. Engagement Timelines

Indicative timelines are: 3–5 business days for Starter Verification; 7–10 days for Enhanced Intelligence; 10–20 days for Premium Due Diligence and site verifications. Actual timelines depend on jurisdiction and scope and will be confirmed in the engagement letter.

8. Use of Deliverables

Reports are provided solely for the Client's internal use in connection with the engagement purpose. Reports may not be disclosed, published, quoted, or relied upon by any third party without our prior written consent. We retain copyright in our deliverables; the Client receives a non-exclusive licence to use them for the stated purpose.

9. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with an engagement shall not exceed the fees paid by the Client for that engagement. We shall not be liable for any indirect, consequential, special, or punitive damages, or for any loss of profit, goodwill, business opportunity, or revenue.

10. Independent Contractor

We act as an independent professional advisor. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship.

11. Force Majeure

We shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, government action, civil unrest, network outages, or epidemics.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to mandatory consumer-protection laws of the Client's jurisdiction (where applicable), the courts at Mumbai, India shall have exclusive jurisdiction.

13. Notices

All formal notices shall be in writing and sent to contact@shrimad-india.com.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
